Who These Terms Apply To
These terms apply to your purchase of Services from us whether you are a consumer or a business customer. Some provisions apply only to consumers and some apply only to business customers, as indicated. A "consumer" is an individual acting wholly or mainly outside their trade, business, craft or profession. A "business customer" is any person, firm, company or other organisation purchasing Services in the course of, or for the purposes of, its trade, business, craft or profession. Where a provision is stated to apply to consumers only, it does not apply to business customers, and vice versa.
Where any provision applicable to consumers conflicts with any provision applicable to business customers, the provision applicable to your customer type will prevail in respect of your purchase.
Placing an Order
You can order our Services through this website. After you place your order, we'll send you an email confirming we've received it. This email will include your order details and instructions on how to access your Services. Your contract with us is formed when you receive this confirmation email.
Before you submit your order, you'll have the opportunity to review it and correct any mistakes.
All orders are subject to availability. We may need to decline an order in some circumstances, and if we do, we'll let you know as soon as reasonably possible.
Description
The descriptions, specifications, images, and other information about our Services on this website are provided to give you a general idea of what we offer. They do not form part of the contract between you and us. The Services you receive may vary from these descriptions, provided any differences are not material.
We may make changes to our Services where necessary to comply with applicable laws or regulatory requirements, or where the changes do not materially reduce the quality of the Services.
Price of the Services
The price of our Services is shown on our website when you place your order. Unless we state otherwise, all prices are inclusive of VAT.
We may update our prices from time to time without prior notice. However, any changes will not affect an order that has already been confirmed, except where a pricing error has occurred.
While we take care to ensure our prices are accurate, errors can sometimes happen. If a Service has been incorrectly priced, we are not required to provide it at the incorrect price, even if your order has been confirmed. If this happens, we will let you know as soon as possible.
Payment
Payment must be made in full before we can process your order. Payments are securely processed by our chosen third-party payment provider. We will receive your payment once the payment provider confirms that your transaction has been successfully completed.
Please Note: Each course licence can only be assigned to a user with an individual email address. Accounts must not be shared and the name can only be changed if a mistake has been made or a user has changed their name.
Cancellation and Refunds
If you are a consumer, you have a legal right to cancel your order within 14 days without giving any reason (the "cancellation period"). The cancellation period ends 14 days after the day on which your contract with us is formed. To cancel, you must inform us of your decision by a clear statement (for example, by emailing onlinecourses@baueracademy.co.uk) before the cancellation period expires. If you cancel within the cancellation period, we will refund all payments received from you without undue delay, and in any event within 14 days of the day on which we are informed of your decision to cancel.
If you are a business customer, the statutory cancellation and cooling-off rights above do not apply. You may cancel your order and receive a refund at any time before you access the Services. Once you have accessed any part of the Services, you may no longer cancel that part of your order or receive a refund for it.
Because our Services consist of, or include, digital content and online courses, if you are a consumer and you ask us to begin providing the Services before the end of the cancellation period, you expressly consent to us doing so and acknowledge that you will lose your right to cancel once you have accessed the Services. Where you have not asked us to begin, and you have not accessed the Services, you retain your right to cancel and to a full refund during the cancellation period.
If you do not access the Services within 12 weeks of placing your order, we reserve the right to cancel your order and remove your access to the Services. In these circumstances, you will not be entitled to a refund.
For the purposes of these terms, the Services are considered to have been accessed when you start the relevant online course or when any related materials are opened, loaded, or viewed using your account.

Liability
We will provide the Services with reasonable care and skill. Except where required by law, we do not make any other promises or guarantees about the Services.
We do not guarantee that the Services will meet your specific requirements or that you will achieve any particular results from taking part in our online learning courses. Nothing in these terms affects your statutory rights as a consumer, including your rights under the Consumer Rights Act 2015 to receive services carried out with reasonable care and skill. Any terms, conditions, warranties, or representations implied by law are excluded only to the extent permitted by law and are not excluded where you are dealing with us as a consumer.
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
If you are a business customer, the following applies. Except for liability that cannot be limited or excluded by law, all terms, conditions, warranties and representations implied by statute, common law or otherwise are excluded to the fullest extent permitted by law. We will not be liable to you for any loss of profit, loss of business, loss of goodwill, or any indirect or consequential loss arising under or in connection with these terms. Subject to the foregoing, our total liability to you in connection with the Services shall not exceed the total price paid by you for the Services giving rise to the claim.
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
Events outside our Control
We will not be responsible for any failure or delay in providing the Services where this is caused by an Event Outside Our Control.
An “Event Outside Our Control” means any event or circumstance that is beyond our reasonable control, including (but not limited to) server or software failures, industrial action by third parties, civil unrest, terrorism, war, fire, explosion, extreme weather, natural disasters, epidemics, or failures of public or private telecommunications networks.
Our Right to Vary These Terms
We may revise these terms from time to time in the following circumstances:
- changes in how we accept payment from you;
- changes in relevant laws and regulatory requirements; or
- any other changes to our operating or delivery processes.
Every time you order Services from us, the terms in force at that time will apply to the contract between you and us.
General
We try to ensure that our website is always available for you. Subject to the paragraph above on liability that cannot be limited or excluded by law, we will not be liable if our website is unavailable at any time or for any period for reasons beyond our reasonable control. If the website is unavailable, we will take reasonable steps to restore access and to ensure you are able to access the Services you have purchased.
These terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. If you are a consumer, you may bring proceedings in the courts of the part of the United Kingdom in which you live, and nothing in these terms affects your rights as a consumer to rely on the mandatory laws of the country in which you are resident.
Terms and Conditions for Promotional Codes and Discounted Products.
· Unless stated otherwise, promotional codes and discount offers cannot be used together with any other offer.
· If you are entitled to a refund, the amount refunded will reflect any discount applied when you placed your order.
· We reserve the right to reject any order where we reasonably believe a promotional code or discount has been used incorrectly, is invalid for the order, or has been obtained or used fraudulently.
· We may change these terms or withdraw a promotion at any time by giving reasonable notice.
· By using a promotional code or accepting an offer, you agree to these terms and any specific terms that apply to that offer.
· Offers are valid for Bauer Academy Services only.
· We may update these terms and conditions from time to time. Any changes will take effect when published.
